Terms of Service

By accessing or using EmmaScan ("the Service"), operated by EmmaScan ("we", "us", "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.

1. Service Description

EmmaScan is a subscription-based software platform (SaaS) providing technical market-analysis and stock-screening tools. The software scans publicly available market data across global exchanges and surfaces technical indicators and backtested signal patterns to subscribers through a web-based dashboard, an AI-powered analysis assistant ("Charles"), an API, and an MCP (Model Context Protocol) server.

EmmaScan is an informational and analytical tool only. It does not hold or transfer customer funds, does not execute trades, does not manage portfolios on behalf of users, and does not provide personalized investment advice. We are not a registered investment adviser or broker-dealer. Customers pay a recurring subscription for access to the software and its analytics.

2. Not Financial Advice

THE SERVICE DOES NOT CONSTITUTE FINANCIAL ADVICE, INVESTMENT ADVICE, TRADING ADVICE, OR ANY OTHER KIND OF PROFESSIONAL ADVICE.

All signals, analyses, rankings, data, and AI-generated outputs provided by the Service - including but not limited to outputs from Charles (the AI advisor) - are for informational and educational purposes only. They do not constitute a recommendation to buy, sell, hold, or trade any security, cryptocurrency, or financial instrument.

You acknowledge that:

• Trading stocks, cryptocurrencies, and other financial instruments involves substantial risk of loss, including the potential loss of your entire investment.
• Past performance of any signal, pattern, or indicator is not indicative of future results.
• You are solely responsible for your own investment and trading decisions.
• You should consult with a qualified, licensed financial advisor before making any investment decisions.
• We are not a registered investment advisor, broker-dealer, or financial planner.

3. AI-Generated Content (Charles)

The Service includes an AI-powered analysis assistant ("Charles") that uses third-party large language models to interpret market data. You acknowledge and agree that:

• AI outputs may contain errors, inaccuracies, or hallucinations. Charles is not infallible.
• Charles is programmed to refuse direct buy/sell recommendations, but AI models cannot be guaranteed to behave perfectly in all scenarios.
• If Charles or any part of the Service appears to suggest a specific trade, this is not a recommendation and should not be treated as one.
• We are not responsible for any trading decisions you make based on AI-generated analysis.
• You agree to exercise independent judgment on all AI outputs and verify information before acting on it.

4. Accounts and Subscriptions

Certain features require account creation (via social sign-in or email/password). You are responsible for maintaining the security of your account credentials.

Paid subscriptions are recurring and are billed in advance through our third-party payment processor (Stripe), which handles payment processing on our behalf. By subscribing, you authorize recurring charges for the plan and billing interval (monthly or yearly) you select, until you cancel. Prices are shown on our Pricing page and are exclusive of any applicable taxes, which may be added at checkout.

5. Refunds and Cancellation

You may cancel at any time from your account settings or the customer portal. On cancellation, your subscription remains active until the end of the current billing period and does not renew; we do not provide prorated refunds for the unused portion of a billing period unless required by law.

If you are a consumer in the European Union, you may have a statutory right of withdrawal within 14 days of your initial purchase. Because EmmaScan is a digital service supplied immediately, by subscribing and accessing the Service during this period you request immediate performance and acknowledge that this right may no longer apply once the service has been fully provided, to the extent permitted by applicable law.

6. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or to violate any applicable laws or regulations.
• Resell, redistribute, or sublicense access to the Service without written permission.
• Attempt to circumvent tier restrictions, rate limits, or access controls.
• Use automated tools (other than the provided API/MCP) to scrape or overload the Service.
• Represent AI-generated outputs as professional financial advice to third parties.

7. Data and Market Information

Market data is sourced from third-party providers and may be delayed, incomplete, or inaccurate. We do not guarantee the accuracy, completeness, or timeliness of any data. Intraday data should not be relied upon for time-sensitive trading decisions.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EMMASCAN AND ITS OPERATORS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Financial losses from trading decisions made using or influenced by the Service.
• Errors, inaccuracies, or omissions in signal data, AI analysis, or market information.
• Service interruptions, downtime, or data loss.
• Unauthorized access to your account.

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE CLAIM.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or that signals will be profitable. No signal, indicator, or AI output guarantees any trading outcome.

10. Indemnification

You agree to indemnify and hold harmless EmmaScan and its operators from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Service, your violation of these Terms, or your trading activities.

11. Modifications

We reserve the right to modify these Terms at any time. Material changes will be communicated via the Service or email. Continued use after changes constitutes acceptance.

12. Governing Law

These Terms are governed by the laws of the European Union and the Kingdom of Spain. Any disputes shall be resolved in the courts of Spain.
